Chapter 1 General Provisions
Article 1 (Applicable)

1. Kyubey Co., Ltd. (hereinafter referred to as "our company") will rent bicycles (hereinafter referred to as "rental bicycles") to individuals or corporations (hereinafter collectively referred to as "users") using the bicycle rental service (hereinafter referred to as "this service") provided by our company, in accordance with these terms and conditions, and users will rent such bicycles.

2. In addition to these Terms and Conditions, the Company may prepare usage guidelines, etc. to the extent that they do not violate laws and regulations. In the event of any discrepancy between these Terms and Conditions and such usage guidelines, etc., the usage guidelines, etc. shall take precedence.

3. Any matters not stipulated in these Terms and Conditions shall be governed by laws and regulations.

Chapter 2: Reservations
Article 2 (Reservation Application)

1. Users who wish to use this service must agree to the terms and conditions of this agreement and make a reservation using the method specified by our company. By making a reservation application, our company will deem that the applicant has agreed to the terms and conditions of this agreement.

2. The Company will accept the reservation application submitted by the User. The reservation will be considered completed at the time of dispatch by the Company.

Article 3 (Reservation Conditions)

Our company may refuse user registration if the user falls under any of the following items.

(1) If there are any false statements, errors, or omissions in the reservation details
(2) If a minor under the age of 18 makes a reservation without parental consent.
(3) If the payment method specified in the reservation is invalid, such as if the credit card specified as the payment method for the service fee is not accepted.
(4) If you have previously delayed or refused to pay service fees or other obligations to us.
(5) If the person is deemed to be a member or affiliate of an organized crime group, an organization related to an organized crime group, or to be involved with other anti-social forces
(6) Any other case in which the Company deems the User inappropriate.

Article 4 (Changes to registered information)

1. If there are any changes to the personal information provided to the Company when making a reservation (hereinafter referred to as "Registration Information"), the User shall immediately notify the Company of such changes in the manner prescribed by the Company.

2. The User agrees in advance that if the User fails to notify the Company of any changes to the Registration Information, even if the notice or documents sent by the Company are delayed or not delivered at all, the User will be deemed to have received them when they would normally have been delivered by the Company.

Chapter 3: Rental Procedures, etc.
Article 5 (Rental Procedures)

1. Our company will lend a Rental Bicycle to the User at a store or a location designated by the User, and the User will borrow the bicycle.

2. The User shall return the Product in accordance with the method prescribed by the Company, either at a store, at a location designated by the User, or at a return facility affiliated with the Company.

3. Our company may refuse to rent a Rental Bicycle for operational reasons, a temporary increase in the number of users, or other reasons. Users shall not make any claims against our company regarding the refusal to rent a Rental Bicycle.

4. When returning a Rental Bicycle, the User must confirm that no personal belongings are left behind on the bicycle, and the Company shall not be liable for any lost or stolen items left behind.

Article 6 (Periodic Inspection and Maintenance)

We will carry out regular inspections and maintenance of bicycles in accordance with standards set by our company.

Article 7 (Pre-use inspection)

1. Each time a User rents a Rental Bicycle, the User shall check that the Bicycle is in a condition suitable for safe and proper use, including that the brakes work, the handlebars turn, the tire pressure is low, the bell rings, and the battery level is sufficient.

2. If a User discovers any damage to a Rental Bicycle, missing equipment, poor maintenance, or any other defect, the User shall immediately contact the inquiry desk and discontinue use of the Bicycle. If a User uses a Rental Bicycle without complying with the provisions of this paragraph, the Company shall not be liable for any damage suffered by the User.

3. If a User uses a Rental Bicycle without making the contact stipulated in the preceding paragraph, it will be deemed that there was no damage, missing equipment, poor maintenance or other defect in the Rental Bicycle at the time of rental.

Article 8 (Rental Conditions)

The User may not use the Bicycle if any of the following applies to the User:

(1) When it is clear that the person is under the influence of alcohol
(2) If symptoms of intoxication from narcotics, stimulants, paint thinner, etc. are observed.
(3) When multiple people wish to use one rental bicycle
(4) If the User delays or refuses to pay the service fee or other obligations to the Company.
(5) In addition to the above, if the Company deems the use of the Bicycle inappropriate.

Article 9 (Suspension or Termination of User Credentials)

1. If any of the following items apply to the User, our company may temporarily suspend or terminate the use of the service without prior notice or warning, and may take necessary measures such as requesting the return of the Bicycle.

(1) If a false statement is made to our company
(2) If you violate these Terms or any other agreements with us
(3) If a traffic accident occurs due to reasons attributable to the User.
(4) If the User delays or refuses to pay the service fees or other obligations to the Company.
(5) Any other facts falling under any of the items in Article 3 have been discovered, or there is a high possibility that any of the items have been discovered.
(6) In addition to the above, if the Company is unable to contact the User, or if the Company determines that it is inappropriate for the User to continue using the Service.

2. The Company shall not be liable for any damage or trouble suffered by the User as a result of the temporary suspension of the Service or the cancellation of User registration under the preceding paragraph, and shall not refund any usage fees.

Chapter 4: Usage Fees
Article 10 (Usage Fees)

1. Service fees refer to the usage fees, extension fees and other fees paid by the User to our Company when using a Rental Bicycle.

2. The Company will publish the usage fees on the website operated by the Company.

3. Usage fees may be changed without notice at the discretion of our company.

4. The payment method for the usage fee will be determined separately by our company.

Chapter 5 Reservation ID
Article 11 (Issuance of reservation ID)

For each reservation, we will issue and assign to the User an ID required for use of the Bicycle (hereinafter referred to as the "Reservation ID").

Article 12 (Management of reservation ID)

1. Users are obligated to use and store their reservation ID with the care of a good manager.

2. Users may use the reservation ID only for their own purposes of using the service, and shall manage it so as not to allow other users or third parties to use it.

Article 13 (Loss, Stolen or Forged ID)

1. If a User loses or experiences theft of their Reservation ID (hereinafter referred to as "ID Theft, etc."), they shall promptly notify the Company in the manner prescribed by the Company.

2. If requested by the Company, the User shall submit documents related to the Card incident, such as a police report, and cooperate with the Company's investigation into the Card incident.

Chapter 6 Management Responsibilities, etc.
Article 14 (Management Responsibility)

From the time a User borrows a Rental Bicycle until the time it is returned, the User shall use, store and manage the Bicycle with the care of a good manager.

Article 15 (Prohibited Acts)

While using a Rental Bicycle, Users shall not engage in any of the acts specified in the following items.

(1) Allowing anyone other than the User to use the Rental Bicycle without the Company's permission.
(2) Using the Rental Bicycle for transportation business or similar purposes without our prior consent or permission under the Road Transportation Act.
(3) Any act that infringes our rights or hinders the smooth operation of our services, such as letting anyone other than the User use the Rental Bicycle, subleasing it, or using it as security.
(4) Reckless driving, driving under the influence of alcohol, or other dangerous behavior
(5) Driving or using a bicycle in a manner that disregards traffic regulations
(6) Use in parks where riding is prohibited, dangerous places, or in inappropriate places
(7) Any act that obstructs the passage of pedestrians, etc.
(8) Disassembling, damaging, destroying, altering, modifying, refurbishing, removing, or otherwise changing the current state of any Rental Bicycle in whole or in part.
(9) Parking a bicycle in a prohibited area as specified by local ordinance, on private property without permission, or in a place that obstructs traffic
(10) Forcing yourself to continue driving if a breakdown occurs while driving
(11) Using the rental bicycle for various tests or competitions, towing or pushing
(12) Taking out liability insurance for a Rental Bicycle without our consent.
(13) Using a bicycle for any act that violates the law or public order and morals
(14) Any other conduct that the Company deems inappropriate and prohibits.

Article 16 (Liability for Compensation)

1. If a User damages a Rental Bicycle, or causes a Bicycle to become soiled or emit an odor, thereby interfering with the comfortable use of the Bicycle by other Users, the User shall be liable for compensation for such damages.

2. In addition to the matters set forth in the preceding paragraph, if the User causes damage to a third party or the Company due to reasons attributable to the User, the User shall be liable to compensate for such damage.

Article 17 (Measures against abandoned and illegally parked bicycles)

1. If a User parks (hereinafter referred to as "abandoned") a Rental Bicycle in a place prohibited by Article 15, paragraph 9, the User shall be responsible for paying all expenses for the removal, transportation, storage, etc. of the Abandoned Bicycle, as well as the usage fees until the return of the Bicycle, and for compensating the Company for all damages incurred.

2. In the case of the preceding paragraph, if the local government or police contact our company regarding the abandonment or removal of a Bicycle, our company will move the Bicycle to a location designated by our company and, as a violator, request that the User comply with legal measures, and the User shall comply with such request.

3. If the Company pays the expenses related to paragraph 1 in advance, the User shall be responsible for promptly paying such expenses to the Company.

Chapter 7: Procedures in the event of an accident, theft, etc.
Article 18 (Accident handling)

If a User is involved in an accident while renting a Rental Bicycle, regardless of the severity of the accident, the User shall take appropriate legal measures and deal with the matter in accordance with the following provisions:

(1) Immediately report the occurrence of the accident and its circumstances to the relevant police station.
(2) Immediately notify our customer service department of the occurrence of the accident and its circumstances.
(3) To promptly prepare and submit any documents or evidence required by the Company and the non-life insurance company with which the Company is insured, regarding the said accident.
(4) If you wish to settle or enter into an agreement with a third party regarding the accident, you must obtain our prior consent.
(5) To resolve the accident amicably at one's own responsibility and expense.

Article 19 (Response in the event of a malfunction)

1. If a User discovers any malfunction or abnormality in a Rental Bicycle while renting said Bicycle, the User shall immediately discontinue use of said Bicycle, contact our inquiry desk, and follow our instructions.

2. Even if a User incurs damages (including expenses incurred when using alternative means of transportation due to a breakdown or abnormality that occurs while renting a Rental Bicycle) due to such breakdown or abnormality, the User shall not claim compensation for such damages from the Company.

3. If a User causes a breakdown or malfunction in a Rental Bicycle due to reasons attributable to the User, the User shall bear the costs required for the transportation and repair of said Rental Bicycle.

Article 20 (Battery Management and Charging)

When using an electrically assisted bicycle or E-bike as a rental bicycle, the User is responsible for managing the remaining battery power and charging it appropriately (in the case of long-term use, etc.). If the User suffers direct or indirect damage due to the battery running out during use, the Company shall not be liable for any reason whatsoever.

Article 21 (Measures against theft, etc.)

If a Rental Bicycle is stolen or otherwise damaged, the User shall immediately report the details of the theft to the relevant police and our inquiry desk and follow their instructions.In this case, the User shall pay the replacement cost of said bicycle (not the current market price, but the cost necessary to purchase a new bicycle) as compensation for damages.If it is difficult to replace said bicycle due to reasons such as discontinuation of production, the replacement cost of a successor model with equivalent performance and specifications or a replacement bicycle shall be applied.

Article 22 (Force Majeure)

1. If a User is unable to return a Rental Bicycle to our Company due to a natural disaster or other force majeure, the User shall immediately contact our inquiry desk and follow our instructions.

2. If, during the rental of a Rental Bicycle, all or part of the Rental Bicycle or the Service becomes unusable due to a natural disaster or other force majeure, the rental will be terminated.

Article 23 (Disclaimer)

Except in cases of willful misconduct or gross negligence on the part of our company, even if it is determined that we are liable for compensation to the user (including, but not limited to, cases where all or part of our exemptions from liability set forth in these Terms and Conditions are invalidated by law), our company will only compensate the user for direct damages, and will not be liable for compensation or indemnification for lost profits or other indirect damages, incidental damages, special damages, punitive damages, attorneys' fees, etc., regardless of the cause of the claim. Furthermore, except in cases of willful misconduct or gross negligence on the part of our company, the maximum amount of compensation that we will compensate the user will be the amount that we received from the user as consideration for using the Bicycle.

Article 24 (Compensation)

1. Based on the established individual contract, the Company will provide various types of liability insurance for the period during which the User rents a Rental Bicycle, and will compensate the User for liability for damages borne by the User within the limits set forth in the following items.

(1) Liability: Compensation for both bodily injury and property damage up to 100 million yen

<Special clause> Litigation response costs: up to 10 million yen, initial response costs: up to 10 million yen, victim medical expenses, etc.: up to 500,000 yen per person (up to 100 million yen per accident)

*The coverage period applies only while riding the rental bicycle. This policy covers legal liability for damage to the life, body, or property of a third party caused by the use of the rental bicycle.

2. Any damages exceeding the compensation limit set forth in the preceding paragraph shall be borne by the User or Subscriber.

3. The User acknowledges without objection that compensation for damages caused by accidents not reported to the police or the Administrative Office, or accidents caused by the User's violation of these Terms and Conditions, may not be available under the liability insurance or the Company's compensation system.

4. In addition to paragraph 3, in cases where the compensation set forth in paragraph 1 applies due to the insurance terms and conditions, such as when the exemption clauses in the insurance terms and conditions of various non-life insurance policies (when insurance claims are not paid) apply, the User or subscriber shall be responsible for all such damages.

5. This article provides an overview of non-life insurance. Details will depend on the insurance policy terms and conditions, but please contact us for details on contract procedures, insurance claim procedures, etc.

Chapter 8 Return
Article 25 (Return Procedures)

1. Users must return the Rental Bicycle by the designated return date and time.

2. Return of the rental bicycle shall be completed by returning it in the manner specified by our company.

3. When returning a Rental Bicycle, the User shall confirm that there is no money, valuables, luggage, trash or other belongings left behind on the bicycle or its accessories, and shall return the bicycle in the same condition as when rented, excluding wear and tear due to normal use.

4. If a User is unable to return a Rental Bicycle by the return date and time, the User shall pay any additional fees for extending the rental period, except as provided for in Articles 19 through 22. If a User fails to return a Rental Bicycle for any reason (including loss or theft), the User shall pay to Company the replacement cost of said Bicycle (not the current market price, but the cost necessary to purchase a new one) as compensation for damages. If it is difficult to replace said Bicycle due to reasons such as discontinuation of production, the replacement cost of a successor model with equivalent performance and specifications or a replacement bicycle shall be applied.

5. If a User is forced to return a Rental Bicycle due to reasons such as Article 18 (Handling of Accidents), the User shall immediately contact the Inquiry Desk and follow instructions. In such cases, the User shall pay the actual costs of transporting the Bicycle, etc., required due to the change in the return location.

Article 26 (Measures to be taken in the event of incomplete return)

1. If the User does not return the Rental Bicycle by the closing time of the return date and time and does not comply with our request for return, or if the User becomes unknown or is deemed to have run off with the Rental Bicycle, we may take legal action, including filing a criminal complaint.

2. In the case of the preceding paragraph, the User shall be liable to compensate the Company for any damages incurred, and shall also bear the costs incurred in recovering the Rental Bicycle and searching for the Renter.

Chapter 9 Personal Information
Article 27 (Consent to use of personal information)

1. Users shall acknowledge and agree to the contents of the Privacy Policy separately established by the Company.

2. Our company will use personal information of users, location information and riding route information of rental bicycles, etc. obtained in the course of providing this service in accordance with the provisions of our privacy policy.

Chapter 10 Qi Ze
Article 28 (Late Payment Charges)

If a User fails to fulfill monetary obligations arising from the use of the Service, the User shall pay to the Company late payment charges at an annual rate of 14.6% (calculated on a pro rata basis based on 365 days in a year). The User shall be responsible for any bank transfer fees incurred in making such payment.

Article 29 (Governing Law)

The establishment, validity, performance and interpretation of these Terms and Conditions shall be governed by the laws of Japan.

Article 30 (Jurisdiction of the Court)

In the event of a dispute arising regarding the use of the Service or the rights and obligations under these Terms and Conditions, the Kyoto Summary Court or the Kyoto District Court shall be the exclusive court of first instance, depending on the content of the dispute.

Article 31 (Changes to Terms and Conditions)

If we revise these Terms of Use, we will notify you by posting a notice on our designated website and app. We may also revise these Terms of Use without prior notice to users.

Article 32 (Notification, etc.)

Any notices or communications from us to the user will be sent to the telephone number or email address registered with us, and will be deemed to be effective at the time of sending. The user will be responsible for any disadvantages caused by non-delivery of such notices or communications.
